Terms of Service

Last updated ·
The short version
  • 01Finality is non-custodial software. Payments go to smart-contract addresses and are split on-chain directly to your wallet. We never hold, freeze, or move your funds.
  • 02Blockchain transactions are final. We can't reverse, refund, or recover payments. Refunds and disputes are between merchants and their customers.
  • 03Fees are transparent. A 1% platform fee and a small network-fee reimbursement are deducted on-chain when a payment settles. There are no monthly fees.
  • 04You control your keys and your compliance. Keep your wallet keys, API keys, and passwords safe, and follow the laws that apply to your business.
  • 05Available worldwide, except to sanctioned persons and jurisdictions and for prohibited activities.

These Terms of Service (the "Terms") are an agreement between you and Finality ("Finality", "we", "us") and govern your use of finality.money, the merchant dashboard, our APIs, SDKs, plugins, checkout pages, and the smart contracts and programs we make available (together, the "Service"). By creating an account, integrating the Service, or paying through it, you agree to these Terms and to our Privacy Policy. If you use the Service on behalf of a business, you agree on its behalf and confirm you have authority to do so.

01What Finality is — and isn't

Finality provides software that lets merchants accept cryptocurrency payments. For each payment, the Service derives a payment address controlled by a smart contract (on EVM networks) or a program-derived address (on Solana). When a customer pays, the contract splits the funds on-chain in a single transaction to the wallets the merchant configured, after deducting the fees described below.

  • Non-custodial. Finality does not take custody of, hold, control, or transmit funds on your behalf, and we do not have the private keys to your wallets or your customers' wallets.
  • No fiat. We do not process fiat currency, issue cards, provide exchange services, or hold balances.
  • Not a financial institution. Finality is not a bank, broker, exchange, or trustee, and nothing in the Service is financial, investment, legal, or tax advice.
  • Sandbox. Test-mode keys simulate payments without real funds. Never treat a sandbox result as payment.

02Eligibility and accounts

  • You must be at least 18 years old and able to form a binding contract.
  • You may sign in with a verified email address, a Google account, or a crypto wallet. Provide accurate information and keep it up to date.
  • You are responsible for everything that happens under your account, including actions by team members you invite and anyone using your API keys. Keep your credentials confidential, enable two-factor authentication, and tell us immediately at [email protected] if you suspect unauthorized access.
  • We do not perform identity verification (KYC) on merchants. You remain responsible for any verification your business is legally required to perform on its own customers.

03Payout wallets and private keys

You choose the wallet addresses that receive your payments, and you alone control their private keys. Double-check every address you enter: funds sent to an address you configured cannot be recovered by Finality, even if the address was mistyped, belongs to someone else, or its keys are lost. Changes to payout addresses require email verification or a wallet signature. Payments created before a change continue to settle to the addresses that were configured when the payment was created.

04Fees

  • Platform fee: 1% of each settled payment, deducted on-chain by the smart contract at settlement. The fee rate for each payment is fixed when the payment is created.
  • Network fee reimbursement: the transaction that settles a payment costs blockchain gas. That cost is reimbursed to the settlement relayer from the payment, and the contract caps it at 2% of the payment amount. In practice it is usually a tiny fraction of that cap.
  • Referral share: if you were referred by another merchant, part of the platform fee may be paid to the referrer. This comes out of our fee, not your share.
  • Splits you configure (affiliates, resellers, marketplace sellers) are paid from your share according to your settings.
  • There are no setup, monthly, or withdrawal fees. Wallet and network fees charged by third parties when customers pay are outside our control. We may change our fees for future payments with at least 30 days' notice; changes never apply to payments already created.

05Payments, settlement, and finality

  • Irreversible. Blockchain transactions cannot be reversed, cancelled, or charged back. Once a payment settles, the funds are in your wallet and Finality cannot claw them back.
  • Exact amounts. A payment settles when the address has received at least the amount due. If a customer underpays, the payment does not settle; after the payment expires, the merchant can withdraw what was received from the dashboard. If a customer overpays, the amount due settles normally and the excess remains at the payment address, where the merchant can withdraw it after the payment expires.
  • Late payments. Funds that arrive after a payment has expired remain at the payment address and can be recovered by the merchant from the dashboard.
  • Price quotes. For non-stablecoin assets, the amount due is quoted at the time the payment is created and is valid only until the payment expires. Stablecoins are treated at face value; we are not responsible for a stablecoin losing its peg.
  • Networks. Blockchains can be congested, reorganize, fork, halt, or change their rules. Detection and settlement times are estimates, not guarantees.
  • Screening. We may decline to relay settlement of payments linked to sanctioned or high-risk addresses where required by law. Settlement on our smart contracts is permissionless, but we are not obliged to perform it for anyone.

06Subscriptions

Recurring payments use on-chain subscription vaults. Customers fund their own vault, and the vault's terms — price, billing cycle, recipients, and any promotional periods — are fixed when the subscription is created and cannot be changed by the merchant or by Finality afterwards. Charges can only happen when a cycle is due and only for the agreed amount. Customers can cancel at any time and withdraw any unused balance. Merchants are responsible for clearly disclosing subscription terms to their customers before they subscribe.

07Refunds, disputes, and customer support

Finality is not a party to the sale between a merchant and its customers. Merchants are solely responsible for their products and services, delivery, customer support, refunds, cancellations, and any disputes with their customers, and for complying with the consumer-protection laws that apply to them. Customers with a question about an order should contact the merchant. Because the Service is non-custodial, we cannot issue refunds or move funds on anyone's behalf.

08Acceptable use

The Service is available worldwide. You may not use it:

  • if you are, or act on behalf of, a person or entity on a sanctions list maintained by the U.S. Office of Foreign Assets Control (OFAC), the United Nations, the European Union, or the United Kingdom, or if you are located in, or organized under the laws of, a comprehensively sanctioned country or region;
  • for anything illegal where you or your customers are located, including fraud, scams, money laundering, terrorist financing, sanctions evasion, or the sale of illegal goods or services;
  • to sell content that exploits minors, promotes violence or terrorism, or infringes others' intellectual property or privacy;
  • to offer regulated financial, gambling, or other licensed activities without holding the licenses required by law;
  • to attack, overload, reverse-engineer, scrape, or interfere with the Service, our smart contracts, or other users; or to probe for vulnerabilities outside a responsible-disclosure process with us.

You are responsible for knowing and following the laws of every jurisdiction where you do business, including licensing, tax, and consumer-protection rules.

09APIs, webhooks, and integrations

We grant you a limited, non-exclusive, non-transferable, revocable license to use our APIs, SDKs, and plugins to integrate the Service with your business. Keep secret API keys on your server. Always verify webhook signatures and treat only the payment.settled event as confirmation that funds have arrived. We may apply rate limits and may change or retire APIs with reasonable notice for breaking changes.

10Smart contracts and protocol changes

The Service relies on smart contracts and programs deployed on public blockchains. Software can contain bugs, and blockchains can fail in ways no one can predict. To fix issues and improve the Service, Finality retains the ability to upgrade certain contracts and programs through governance keys that we control. Payment routing for each payment is bound to that payment's own address, and we will never use upgrades to redirect funds away from the recipients you configured. We may also adjust fees within the limits enforced by the contracts, as described in the Fees section.

11Third-party services

The Service works with wallets, blockchains, token issuers, Google sign-in, email providers, e-commerce platforms, and other services that we do not control. Your use of them is governed by their own terms, and we are not responsible for their availability, security, or actions — including a token issuer freezing or blocking an address.

12Intellectual property

Finality and its licensors own the Service, including its software, designs, and trademarks. You keep ownership of your content and data, and you grant us the rights needed to operate the Service for you. If you send us feedback, we may use it without obligation to you.

13Suspension and termination

You may stop using the Service and close your account at any time. We may suspend or terminate your access to the dashboard, APIs, or relaying services if you breach these Terms, if required by law, or to protect the Service or other users. Because the Service is non-custodial, suspension does not affect funds already settled to your wallet, and subscribers keep control of their vaults. Sections that by their nature should survive termination will survive.

14Disclaimers and assumption of risk

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, error-free, or secure.

You understand that crypto-assets are volatile and that using them involves risks, including the loss of private keys, smart-contract bugs, network failures, forks, token freezes by issuers, and changes in law or regulation. You accept these risks.

15Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FINALITY WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR CRYPTO-ASSETS, ARISING FROM OR RELATED TO THE SERVICE. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE FEES YOU PAID TO FINALITY IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM AND (B) US$100. Some jurisdictions do not allow these limitations, so they may not apply to you in full.

16Indemnification

You will defend, indemnify, and hold harmless Finality and its team from any claims, losses, and expenses (including reasonable legal fees) arising from your products or services, your dealings with your customers, your violation of these Terms, or your violation of any law or third-party right.

17Governing law and disputes

These Terms are governed by the laws of the United States and of the U.S. state in which Finality is organized, without regard to conflict-of-law rules. Before filing a claim, you agree to contact us at [email protected] and try to resolve the dispute informally for at least 30 days. If it is not resolved, the dispute will be decided by binding individual arbitration administered by the American Arbitration Association under its applicable rules, except that either party may bring an individual claim in small-claims court or seek injunctive relief to protect intellectual property. You and Finality waive any right to a jury trial and to participate in a class or representative action.

18Changes to these Terms

We may update these Terms from time to time. For material changes, we will notify merchants by email or in the dashboard at least 15 days before they take effect, unless a change is required sooner by law or for security. Continuing to use the Service after changes take effect means you accept them.

19General

These Terms, together with the Privacy Policy, are the entire agreement between you and Finality about the Service. If any provision is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. Neither party is liable for delays caused by events beyond its reasonable control. If these Terms are translated, the English version controls.
